Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Torchlite.ai (“Torchlite,” “the Service”) operated by Torchlite.ai. By creating an account or using the Service, you agree to these Terms.

The Service

Torchlite is a cloud software service that helps construction and service-industry teams search and ask questions over their organization’s documents and connected data sources. Features include semantic search, AI-generated answers with citations, and optional integrations with third-party platforms such as QuickBooks Online and Basecamp.

Accounts and organizations

• You must provide accurate registration information and keep your credentials secure.
• Each organization (“tenant”) may have multiple users. Tenant administrators control invitations, integrations, and certain permissions.
• You are responsible for all activity under your account and for ensuring users in your organization comply with these Terms.
• You must be at least 18 years old and authorized to bind your organization to these Terms.

Connected integrations

When you connect a third-party service, you authorize Torchlite to access data from that service on your organization’s behalf, subject to the permissions you grant during OAuth consent. You represent that you have the right to connect those sources and share the resulting data with Torchlite. Disconnecting an integration stops future access; previously indexed data may remain until deleted or your account is terminated.

Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of third-party terms (including Intuit, Basecamp, and OpenAI policies)
• Attempt to access another organization’s data or bypass access controls
• Reverse engineer, scrape, or overload the Service
• Upload malware or content you do not have rights to use
• Use the Service to provide regulated professional advice (legal, medical, financial, or safety-critical) without qualified human review

AI-generated content

Torchlite uses artificial intelligence to generate answers. AI output may be incomplete, outdated, or incorrect. Answers are provided for informational purposes only and do not constitute professional, legal, financial, engineering, or safety advice. You are solely responsible for verifying important information before acting on it.

Fees and prepaid credits

TorchLite sells prepaid Torch Credits that are consumed when your organization uses Search, Ask, image tools, connector syncs, and related features. Credit packs, unit costs, and bulk discounts are shown on our public Pricing page and in-app under Settings → Billing. We may change pricing with reasonable notice where required.

• Credits are held at the company (tenant) level and shared by members.
• Credits are not cash, have no cash value, and are non-refundable except where required by law.
• Unused credits expire 24 months after purchase (trial credits expire with the trial grant window / same policy).
• Payment processing may be handled by Stripe; their terms apply to card transactions.

Intellectual property

Torchlite and its software, branding, and documentation are owned by us or our licensors. You retain ownership of your organization’s data. You grant us a limited license to host, process, and display your data solely to provide the Service.

Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORCHLITE AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms, create security or legal risk, or if we discontinue the Service. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and governing law) will survive.

Governing law

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Georgia, unless applicable law requires otherwise.

Changes

We may modify these Terms by posting an updated version on this page. Continued use after changes become effective constitutes acceptance of the revised Terms.
